Generel
The following terms of delivery and payment apply exclusively to all offers, deliveries and services. Terms and conditions of the purchaser which we do not explicitly acknowledge in writing are not binding upon us even if we do not contradict them in a given instance.
Technical data
The particulars stated in our sales literature reflect the status on printing, We reserve the right to make changes in design to improve our products.
Delivery / Delivery Time
- Stated delivery times are only approximate unless explicitly stipulated in writing.
- Delivery periods commence only after all technical details have been clarified. In the event of subsequent technical modifications, the delivery period shall begin anew.
- Delivery periods shall be extended if the purchaser fails to live up to his payment obligations from earlier deliveries.
- Force majeure releases us from observing stated delivery periods. The customer is then entitled to cancellation.
- We normally deliver our goods via Deutscher Paketdienst or Deutsche Post. Should the ordering party specify other forms of delivery in particular express or forward delivery, messenger, taxi, etc., the additional cost shall be charged separately.
Passing of Risk
All risk passes to the purchaser when the goods are surrendered to the forwarding agent or carrier or leave our factory. The purchaser himself is responsible for taking out transport insurance.
Prices / Pricing
- Our prices are in EURO, ex factory, exclusive of postage and packaging, adding current value-added tax.
- Unless stipulated otherwise, our invoice amounts shall be paid within 10 days, deducting 2% prompt payment discount, or 30 days, without any deductions, referring to the time of receipt by us.
- Errors excepted
Reservation of Title
The goods shall remain our property until the ordering party has paid the full purchase price.
Warranty
- The warranty period applying to the goods we supply is 24 months from date of delivery or date of readiness for shipping.
- In the event of defects or the lack of a warranted quality of the goods supplied by us, the purchaser can demand, at our option, rectification, replacement, or rescission of the order.
Damage Claims
- We shall not reimburse direct expenses or consequential expenses incurred by the purchaser or third parties
- due to belated delivery of the goods supplied by us;
- due to delivery of goods which are subject to defects.
- We shall be liable for damage originating due to any defects in the design of the goods supplied by us within the terms and limits of the product liability insurance policy concluded by us. Pecuniary damage generally shall be excluded.
Returns
Returns of delivered goods shall only be possible subject to prior clarification. Made-to-order equipment shall be barred frorn return. We deduct at least 5% for inspection and re-warehousing.
Final Provisions
- lf, in reference to individual items of these terms, diverging terms of delivery are agreed with the purchaser, this shall have no affect on any of the other terms.
- The place of jurisdiction for all disputes arising from any transaction between ourselves and the purchaser shall be the location of our principal place of business or that of the purchaser, at our option.
